LANDAMERICA FINANCIAL GROUP, INC.

Summary of Case: A securities class action has been filed against LandAmerica Financial Group, Inc. (Ticker: LFG) and its Board of Directors ("Defendants") on behalf of all public stockholders of LandAmerica Financial Group, Inc. in the United States District Court for the Eastern District of Virginia. 

The complaint alleges that Defendants breached their fiduciary duty and violated state law arising out of their attempt to sell the Company to defendant Fidelity National Financial, Inc. ("Fidelity") by means of an unfair process and for an unfair price of 0.993 shares of Fidelity common stock, which based on Fidelity's closing price on November 6, 2008, implies a purchase price of approximately $8.29 per share of LandAmerica common stock (the "Proposed Transaction"). The Proposed Transaction is valued at approximately $125 million.
